Team: I talked with Marty briefly today, and
have attempted to summarize below what was agreed in the meeting on
Sunday. Please confirm as soon as possible, so we can commence
execution via KPMG.
- The key functions of the Public-Root
consortium (i.e., factory, commercial, and policy) will be
integrated into a single corporate structure, with a unified image and market
approach, and much improved levels of quality, stability, and
credibility.
- The new Public-Root Group shall be structured to
achieve our objective of combining a commercial venture with a
not-for-profit component.
- As an initial step, all shares and
other interests in the Public-Root will be transferred to Comms
Intelligence (CI), until the adoption of a definitive group structure.
- CI will establish an "interim board" consisting of
three representatives -- one each from:
- The Public-Root (to be determined)
- UNIDT (Marty)
- The Internet or Linux community (e.g.,
Karl Auerbach, Jon "Maddog" Hall, or similar)
- The interim board shall:
- Re-confirm the core principles, policies,
processes, and objectives of the new Public-Root Group
- Design and execute a definitive corporate
structure (including a board framework) that will effectively and
efficiently achieve the above
- Establish a basic management team to assist
accordingly.
- We expect the interim board will complete the
above within 15-30 days.
- At that point, the definitive Public-Root Group
structure will be implemented via KPMG.
- In parallel, all Public-Root Group activities
involving marketing, sales, partnering, and private placement
will continue in accordance with UNIDT plans.
- All Public-Root/UNIDT projects will be integrated
into this new structure (internationalized/multi-lingual TLDs, email2, IPv6,
etc.).
- 10% of the Public-Root Group's income will be
contributed to the Sunita van Veluw Foundation for projects to
benefit children around the world.
